Terms of Use, Disclaimer & Limitation of Liability

By creating an account, accessing, or using BillKeeper ("the Software", "the Service", "the Platform"), you ("User", "you") acknowledge that you have read, understood, and agree to be bound by the following terms. If you do not agree, do not create an account or use the Service.

1. No Professional Advice

BillKeeper is a record-keeping and organisational tool only. It does not provide accounting, tax, legal, or financial advice. The Software is not a substitute for the services of a qualified accountant, tax agent, or financial adviser. You are solely responsible for ensuring the accuracy of your records and compliance with all applicable laws, including but not limited to Australian Taxation Office (ATO) requirements, GST obligations, BAS lodgements, and PAYG withholding.

2. Data Ownership & Responsibility

You retain full ownership of all data you input into BillKeeper. You are solely responsible for:

• The accuracy, completeness, and legality of all data you enter, upload, or generate
• Maintaining your own independent backups of all data, documents, and records
• Ensuring your use of the Software complies with all applicable laws and regulations
• Safeguarding your account credentials and preventing unauthorised access

3. No Guarantee of Data Preservation

While we take reasonable steps to maintain the Service, we do not guarantee that your data will be preserved, maintained, or accessible at all times. Data may be lost, corrupted, or become inaccessible due to system failures, software errors, security incidents, scheduled or unscheduled maintenance, service discontinuation, account termination, or any other cause. You must maintain your own independent copies and backups of all critical data at all times.

4. Limitation of Liability

To the maximum extent permitted by law, BillKeeper, its operators, directors, employees, affiliates, and agents shall not be liable for any:

• Loss, corruption, or unauthorised access to your data
• Errors in calculations, categorisations, GST amounts, or any auto-generated figures
• Losses arising from reliance on information produced by the Software, including AI-generated extractions
• Loss of revenue, profit, business, goodwill, or anticipated savings
• Indirect, incidental, special, consequential, or punitive damages of any kind
• Penalties, fines, or interest imposed by the ATO or any regulatory body
• Damages arising from service interruptions, downtime, or discontinuation
• Any third-party claims arising from your use of the Software

In no event shall our total aggregate liability exceed the amount you have paid for the Service in the twelve (12) months preceding the claim.

5. AI & Automated Features

The Software may use artificial intelligence, optical character recognition, and machine learning to extract data from receipts and documents. These features are provided on an "as-is" basis and may produce errors. You must review and verify all auto-extracted data before relying on it.We accept no responsibility for decisions made based on AI-generated output.

6. Service Availability & Modifications

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice, and without liability to you.

7. Privacy & Data Handling

Your use of the Service is also governed by our Privacy Policy. We may use third-party service providers to host, process, and store data. While we implement reasonable security measures, no system is completely secure, and we cannot guarantee the absolute security of your data. You acknowledge and accept this risk.

8. Indemnification

You agree to indemnify, defend, and hold harmless BillKeeper and its operators from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these terms
• Your violation of any third-party rights or applicable laws
• Any data you input, upload, or process through the Service

9. Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason, including breach of these terms. Upon termination, your right to access the Service ceases immediately. We are not obligated to retain, export, or return your data after termination.

10. Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.

11. Amendments

We may update these terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be notified via email or in-app notice.
